Mr. Rakhimov will receive a monthly retainer of $1,500 up to June 1, 2006, subject to renewal. IMPACT has also issued to Mr. Rakhimov an option under IMPACT's stock option plan to purchase 35,000 of its common shares at an exercise price of $1.45 per share for a one-year term. The options granted will vest in accordance with applicable regulations.
